Terms of Use

1. Acceptance of Terms

By accessing or using the Watchgar platform (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service. Watchgar is operated by ZENSOFT LLC, a limited liability company organized under the laws of the State of Arizona. These Terms form a binding agreement between you and ZENSOFT LLC ("Watchgar," "we," "us," or "our").

2. Description of Service

Watchgar is a financial intelligence platform that aggregates market data, news, filings, and economic indicators, and provides AI-assisted analysis, notebooks, automated agents, and optional integrations with third-party brokerage services for paper and live trading. The Service is provided for informational and personal-use purposes only.

3. Subscription, Billing, and Refunds

The Service is offered on a paid subscription of $100 USD per month. Your subscription automatically renews each month until cancelled, and you authorize us, through our third-party payment processor (Stripe), to charge your payment method on each renewal. You may cancel at any time from your account settings; cancellation stops all future renewals. If you cancel within seven (7) days of your initial subscription, you are eligible for a full refund of that charge. The 7-day refund window is reset each time you re-subscribe after a prior cancellation. Except as expressly stated in this section or as required by applicable law, all payments are non-refundable.

4. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

5. Account Responsibility

You are responsible for safeguarding the credentials used to access your account and for all activity that occurs under your account, including any activity performed by connected third-party services, automated agents, or strategies running on your behalf. You agree to notify us immediately of any unauthorized access.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to the Service, other accounts, or any connected systems.
• Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure.
• Reverse engineer, scrape, or redistribute the Service or its content except as permitted by law.
• Use the Service to provide investment advice or regulated financial services to third parties.

7. No Investment Advice

Nothing on the Service constitutes financial, investment, legal, tax, or other professional advice. All content — including data, analysis, signals, AI-generated output, agent decisions, and strategy results — is provided for informational purposes only. You should consult a qualified professional before making any investment decision. You are solely responsible for your trades and their outcomes.

8. Third-Party Services

The Service integrates with third-party providers (including, without limitation, Alpaca for paper and live trading, data vendors, and AI model providers). Your use of any third-party service is subject to that provider's own terms and privacy policies. We are not responsible for the availability, accuracy, behavior, or actions of any third-party service, including any orders executed, missed, or rejected by a connected brokerage.

9. Data Sources and Accuracy

The Service aggregates information from numerous third-party data sources and providers, covering market prices, news, filings, economic data, and related content. We apply automated validation and anomaly detection, AI-assisted checks, and human review in an effort to identify and correct errors.

These quality-control efforts are provided on a reasonable-efforts basis only and do not constitute a warranty or guarantee of any kind. Data and content may be delayed, incomplete, inaccurate, unavailable, or out of date, and you should not rely on it as the sole basis for any trading or financial decision. You are responsible for independently verifying any information before acting on it. This section is subject to the disclaimers in Section 10 and the limitations in Section 11.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, TIMELY, OR THAT ANY DATA, SIGNAL, OR AI-GENERATED OUTPUT IS COMPLETE, ACCURATE, OR RELIABLE. ANY USE OF THE SERVICE, INCLUDING ANY TRADING ACTIVITY, IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZENSOFT LLC, ITS AFFILIATES, OR ITS OPERATORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, TRADING LOSSES, MISSED TRADES, OR ERRONEOUS TRADES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY APPLICABLE LAW.

12. Indemnification

You agree to indemnify and hold harmless ZENSOFT LLC and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, your violation of any law or third-party right, or any trading activity performed using your account or connected brokerage credentials.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination — including disclaimers, limitations of liability, and indemnification — will survive.

14. Changes to the Service and Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. We will indicate the date of the most recent revision above. Your continued use of the Service after any change constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Arizona, and you consent to the personal jurisdiction of those courts.
